The terms “we,” “us,” and “our” refer to Midinette. Midinette operates this store and website—including the information, content, features, tools, products, and services—to provide you, the customer, with an optimal shopping experience (the “Services”). Midinette is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, along with any policies incorporated herein (collectively, the “Terms and Conditions of Service” or “Terms”), outline your rights and responsibilities when using the Services.
Please read these Terms and Conditions of Service carefully, as they contain important information regarding your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with, or using our Services, you agree to be bound by these Terms and Conditions of Service and our Privacy Policy. If you do not agree to these Terms and Conditions of Service or the Privacy Policy, you must not access or use our Services.
1. PURPOSE OF THIS DOCUMENT
These General Terms and Conditions of Sale (“General Conditions”) govern the sale to final consumers (“Customers” or “Customer”) of women’s clothing and related accessories from the Midinette collection (“Products”) marketed by Snail S.r.l. (“Midinette”) through the dedicated section of the website http://www.midinette.online (“Website”) in accordance with the procedures described therein.
Sales of Products between Midinette and the Customers shall be governed by these General Conditions.
Products may also be purchased and shipped outside of Italy, to the countries listed in the Shipping Policy section of the Website, according to the terms, timelines, and costs specified therein. Any applicable customs duties, taxes, or charges outside of Italy are the sole responsibility of the Customer.
For the purposes of these General Conditions, “final consumer” refers to any natural person acting for purposes unrelated to their trade, business, craft, or professional activity, if any.
The Products are marketed by Snail S.r.l., headquartered at Via Sant’Antonio da Padova no. 3, 87019 – Cosenza (CS), VAT no. 03389480785.
For any questions regarding these General Conditions and/or purchases made under them, customers may fill out the assistance request form available in the customer support area of the Website.
2. METHOD OF CONTRACT CONCLUSION
The information and details contained in the e-commerce section of the Website should not be considered as offers: they merely represent an invitation for Customers to make purchase proposals.
The purchase proposal for the Products is made by Customers when they submit the electronic order form, which they must fill out and confirm on the order summary page. If Customers wish to receive an invoice, they must select the appropriate option in the order form or send an email to info@midinette.online. Customers may also indicate a shipping address different from the one provided in their personal information.
Once the order form is submitted, an order summary page is displayed and a confirmation email is sent acknowledging receipt of the order.
By submitting the order form, the Customer agrees that any purchase contract will be governed by these General Terms and Conditions.
Therefore, all orders are subject to acceptance by Midinette, which reserves the right, at its sole discretion, not to process any order proposal in the following cases:
In the above cases, Midinette will inform the Customer by email that the order proposal has not been accepted (in whole or in part) and therefore that no contract has been concluded. In such cases, Midinette will refund any amounts already paid by the Customer.
The purchase contract between the Customer and Midinette is concluded only when the Customer's order is accepted by Midinette. In such case, Midinette will send the Customer a confirmation email, using the email address provided, indicating that the purchase order is being processed.
3. ACCESS AND ACCOUNT
3.1 By accepting these Terms and Conditions of Service, you declare that you are of legal age in your state or province of residence, and that you have given us consent to allow any minors under your responsibility to use the Services on devices you own, have purchased, or manage.
3.2 To use the Services—including accessing or browsing the online stores or purchasing products and services we offer—you may be required to provide certain information, such as your email address and billing, payment, and shipping details.
You represent and warrant that all information you provide in our stores is accurate, current, and complete, and that you have all necessary rights to provide such information.
You are responsible for all activity under your account and for protecting your account credentials. You must not transfer, sell, assign, or license your account to any other person.
4. OUR PRODUCTS
4.1 We have made every effort to accurately present our products and services in our online stores. However, the display of colors and the appearance of the products may vary depending on the type of device you use to access the store and its settings and configuration.
4.2 We cannot guarantee that the appearance or quality of the products or services you purchase will meet your expectations or be identical to what is described or shown in our online stores.
4.3 All product descriptions are subject to change at any time without notice and at our sole discretion. We reserve the right to discontinue any product at any time and to limit the quantities of products offered to any person, geographic area, or jurisdiction from time to time.
4.4 The Products shown on the Website are original items of the “Midinette” brand. The features of each Product are listed in the product sheet on the Website; however, the actual colors may differ from those displayed due to differences in browsers and monitors.
4.5 Products are covered against any lack of conformity existing at the time of delivery, as provided by Articles 130 and 132 of the Italian Consumer Code.
If the Customer believes the purchased Products are defective, they may return them by sending an email to info@midinette.online
4.6 Midinette will carefully examine the returned Product (which must still have all original composition, care, and brand labels) and will inform the Customer whether the return has been accepted. If the defective Products are accepted, Midinette will refund the amount paid by the Customer.
4.7 All products are covered by the legal warranty of conformity set out in Articles 128–135 of the Consumer Code. This legal warranty protects consumers in the event they purchase defective products, products that malfunction, or do not match the description provided by the seller or the intended use of the product.
The consumer may enforce their rights under the legal warranty by contacting Midinette directly, following the procedures described in Article 7.2 above.
4.8 In the event of a lack of conformity, the consumer has the right to choose between repair or replacement of the defective product by the seller, free of charge, unless the requested remedy is objectively impossible or excessively burdensome for the seller under Article 130, paragraph 4 of the Consumer Code.
If repair or replacement is impossible or excessively burdensome, the Customer will be entitled to a price reduction or a refund, proportionate to the value of the product, upon returning the defective product to Midinette.
5. ORDERS
When you place an order, you are submitting a purchase offer. Midinette reserves the right to accept or reject your order at its sole discretion and for any reason. Your order is not confirmed until Midinette confirms its acceptance.
Before accepting an order, we must receive and process payment. Please carefully review your order before submitting it, as Midinette may not be able to accommodate cancellation requests once an order is accepted.
In case of rejection, modification, or cancellation of an order, we will notify you using the email, billing address, and/or phone number you provided at the time of order submission.
Your purchases are eligible for return or exchange only in accordance with our Refund Policy.
You represent and warrant that you are purchasing for personal or household use only and not for resale or export.
The Customer who wishes to receive an invoice is invited to request it at the time of placing the order or within 30 days from the order confirmation, by contacting Customer Service and providing the necessary billing details.
6. PRICES AND PAYMENT TERMS
6.1. The sale prices of the Products and the payment methods are those listed on the Website and are expressed in Euros or in another currency convertible into Euros.
The sale prices do not include shipping costs, which will be calculated and shown at the time of the order, before payment.
Prices do not include any customs duties or fees, which are neither calculated nor displayed at the time of ordering.
Such charges, if applicable, will be communicated and requested directly from the Customer by the customs authorities upon delivery and shall be the Customer’s sole responsibility.
Midinette reserves the right to modify the prices listed on the Website at any time. Under no circumstances shall Midinette be held liable for any price changes.
6.2. The Customer agrees to pay the price of the purchased Products using the following methods:
Credit Cards (Visa, Mastercard, and Maestro): Credit card transactions are managed directly by Shopify Payments on secure servers that ensure maximum data protection. Midinette does not have access to, nor does it store in any way, the Customer's sensitive credit card data.
At the time of the order, Shopify Payments performs a pre-authorization of the corresponding amount to verify fund availability. The amount is held on the Customer’s card but is not charged immediately.
Midinette reserves the right to capture (authorize the actual charge of) the amount within 7 days from the order confirmation. If this does not occur, the pre-authorization will automatically expire, and the amount will be released on the Customer’s card.
Midinette is not responsible for any refusals or failed authorizations by the card issuer. The final charge will occur only after order acceptance and contract confirmation in accordance with Article 2 of these General Terms and Conditions.
PayPal: In this case, the charge will occur upon confirmation of order receipt. If Midinette does not accept the order proposal, the amount will be refunded to the Customer.
Gift Card: The amount due from the Customer will be deducted from the balance loaded on the Gift Card at the time of order confirmation. If Midinette does not accept the order proposal, the amount will be reloaded onto the Gift Card.
7. PRODUCT SHIPPING METHODS
7.1. Products will be delivered according to the timing and methods selected by the Customer from the available delivery options listed on the Website. Shipping costs for home delivery are borne by the Customer and may vary depending on the chosen delivery service.
Sales prices do not include shipping costs, which will be calculated and displayed at checkout before payment.
Prices also do not include any customs duties or fees, which are not calculated or shown at the time of ordering.
Such charges, if applicable, will be communicated and requested directly by customs authorities upon delivery and are the sole responsibility of the Customer.
Once the order has been shipped, Midinette will send the Customer a shipping confirmation email with instructions on how to track the shipment.
Shipments are carried out throughout the entire Italian territory and to all European and non-European countries where shipping is available via the selected courier.

7.2. The risks related to the Products pass to the Customer upon delivery of the Products to the Customer or to a third party designated by the Customer.
We are not responsible for shipping or delivery delays. All delivery times are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs procedures, or events beyond our control.
Risk transfers to the Customer upon delivery to the carrier if the carrier was chosen by the Customer and that choice was not offered by Midinette.
8. RIGHT OF WITHDRAWAL
8.1. The Customer has the right to withdraw from the purchase without any penalty and without providing any reason, within 14 calendar days from the date of receipt of the Products purchased under these General Terms and Conditions.
8.2. The withdrawal may be exercised within the term referred to in Article 8.1 above by sending Midinette an explicit declaration from the Customer expressing their intention to withdraw.
8.3. To exercise the right of withdrawal, the Customer must send a written notice via email to info@midinette.online.
8.4. A necessary condition for the valid exercise of the right of withdrawal is that the Products to be returned remain intact. In particular, the Products must not have been used, worn, washed, or damaged; the identification tag must still be attached to the Products with the single-use seal intact, along with all composition and care labels.
8.5. The Customer must exercise the right of return within 14 calendar days from the date of receipt of the Products.
The Customer may choose to return the Products either directly to a Midinette-branded store or via courier. Products must be returned within 14 days from the date the Customer notifies Midinette of their decision to withdraw.
Return shipping costs are at the Customer’s expense.
If returning via courier, the Products must be sent to Midinette in a single shipment. The original shipping packaging must be used for the return. Detailed instructions on how to make a return are available on the Website under the “Returns and Refunds Policy” section.
8.6. Midinette will issue the refund as soon as possible and in any case within 30 (thirty) days from the date it becomes aware of the Customer's decision to exercise the right of withdrawal, subject to verification of compliance with all necessary requirements.
8.7. The refund will be issued by Midinette using the same payment method used by the Customer for the original online purchase.
9. TIMEFRAME AND METHODS FOR REFUNDING RETURNED PRODUCTS
9.1. If the right of withdrawal has been exercised in accordance with the terms and conditions set forth in Article 5 above, and the inspection of the returned Products has been completed with a positive outcome, Midinette will send the Customer an email confirming acceptance of the returned Products.
9.2. Midinette will refund the amounts paid by the Customer, net of any discounts and/or promotions, only if the returned products are intact, unworn, unwashed, and have all original tags attached.
We reserve the right to refuse a refund or apply a partial deduction if the item shows signs of use, damage, or alterations due to handling beyond what is necessary to try the product.
Returns are free of charge if the "in-store return" option is selected. Otherwise, returns via courier are at the Customer’s expense. The Customer may ship the package using a trusted courier or request assistance from our team to organize a pickup.
If all items in the order are returned, the full cost of the items (net of any discounts) will be refunded. If only part of the order is returned, only the cost of the returned items (net of any discounts) will be refunded.
The Customer is responsible for the return shipment until the products reach our warehouse. Midinette is not liable for any loss, theft, or damage of Products during return shipping unless the courier was selected by Midinette. We therefore recommend using a tracked and insured shipping service.
Regardless of the payment method used by the Customer, Midinette will issue the refund as soon as possible and, in any case, within 14 (fourteen) days from the date Midinette is informed of the Customer’s decision to exercise the right of withdrawal, subject to verification of compliance with all requirements for exercising the right. The refund will be suspended until the returned Products are received.
Whether returned in store or via courier, the refund will be issued using the same payment method used for the original online purchase. No cash refunds will be issued in-store.
9.3. If the recipient of the Products indicated in the order form differs from the person who made the payment, any refund, in the case of withdrawal, will be made by Midinette exclusively to the original payer.
9.4. If the Customer purchased the Products using a Gift Card, the refund will be issued by recrediting the amount used to the same Gift Card.
10. INTELLECTUAL PROPERTY
Our Services—including, but not limited to, trademarks, branding, text, layouts, images, graphics, product reviews, videos, and audio, as well as the design, selection, and arrangement thereof—are the property of Midinette, its affiliates, or its licensors, and are protected by U.S. and international patent, copyright, and intellectual property laws.
These Terms permit you to use the Services solely for your personal, non-commercial use. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any materials related to the Services without our prior written consent. Except as expressly stated herein, nothing in these Terms shall be construed as granting you any license or rights under any patent, trademark, copyright, or other intellectual property of Midinette, Shopify, or any third party. Unauthorized use of the Services may violate federal and state intellectual property laws. All rights not expressly granted herein are reserved by Midinette.
The names, logos, product and service names, designs, and slogans of Midinette are trademarks of Midinette or its affiliates or licensors. You may not use such trademarks without Midinette’s prior written permission. The name, logo, product and service names, designs, and slogans of Shopify are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans appearing in the Services are the trademarks of their respective owners.
11. JOINT CONCILIATION PROCEDURE
Pursuant to Article 49, paragraph 1, letter V of Legislative Decree No. 206 of 6 September 2005 (“Consumer Code”), the Customer may make use of the Joint Conciliation Procedure. This procedure may be initiated if, after submitting a complaint to the company, the Customer does not receive a response within thirty days, or receives a response deemed unsatisfactory.

12. OPTIONAL TOOLS
You may have access to customer tools provided by third parties as part of the Services, which we neither monitor, control, nor input.
You understand and agree that we provide access to such tools “as is” and “as available,” without any warranties, representations, or conditions of any kind, and without any endorsement.
We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Your use of any optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which such tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be subject to these Terms and Conditions of Service.
13. THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to websites provided or operated by third parties (including embedded third-party functionalities). We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites that you choose to access. If you decide to leave the Services to access such materials or third-party websites, you do so at your own risk.
We are not responsible for any issues or damages arising from your access to third-party websites, or from your purchase or use of any products, services, resources, or content on third-party websites. Please carefully read and understand the relevant third-party policies and practices before engaging in any transaction. Any complaints, concerns, or questions regarding third-party products and services should be directed to the respective third parties.
14. RELATIONSHIP WITH SHOPIFY
Midinette is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases made through our Store are conducted directly between you and Midinette. By using the Services, you understand and agree that Shopify is not responsible for any aspect of the transactions between you and Midinette, including any injuries, damages, or losses arising from the purchase of products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Midinette.
15. PRIVACY POLICY
All personal data we collect through the Services is subject to our Privacy Policy, available here [LINK], and certain personal data may also be subject to Shopify’s Privacy Policy, available here. By using the Services, you confirm that you have read both privacy policies.
As part of its role in supporting the Services, Shopify collects and processes personal data related to your access and use of the Services in order to provide and improve the Services for you. To offer and improve the Services, the data you submit to the Services will be transmitted to and shared with Shopify and third parties, which may be located in countries different from your own. Please refer to our Privacy Policy for more information on how we, Shopify, and our partners use your personal data.
16. PERSONAL DATA PROTECTION
With regard to all matters concerning the collection and processing of the Customer’s personal data and the related purposes, please refer to the specific privacy policy available on the Website.
17. FEEDBACK
When you send, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively “Feedback”), you grant us a perpetual, worldwide, transferable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback through any medium for any purpose, including commercial purposes. For example, we may exercise our rights under this license to operate, provide, evaluate, improve, enhance, and promote the Services, and to fulfill our obligations and exercise our rights as outlined in the Terms and Conditions of Service.
You further confirm and agree that: (i) you have the necessary rights to provide all Feedback; (ii) you have disclosed any rewards or incentives received for submitting the Feedback; and (iii) your Feedback complies with these Terms.
We are not and shall not be obligated to: (1) keep your Feedback confidential; (2) compensate you for any Feedback; or (3) respond to any Feedback.
Although we are not obligated to do so, we may monitor, edit, or remove Feedback that we determine, in our sole discretion, to be unlawful, offensive, threatening, defamatory, pornographic, obscene, or otherwise objectionable, or that violates intellectual property rights or these Terms and Conditions of Service.
You confirm that your Feedback does not violate the rights of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary rights. You also confirm that your Feedback does not contain defamatory, unlawful, offensive, or obscene content, nor does it contain viruses or other malware that could affect the operation of the Services or any related website.
You must not use a false email address, pretend to be someone else, or mislead us or third parties as to the origin of your Feedback. You are solely responsible for your Feedback and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third party.
18. ERRORS, INACCURACIES, AND OMISSIONS
Occasionally, information related to or included in the Services may contain typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping costs, transit times, and availability.
We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information in the Services is inaccurate at any time without prior notice (including after an order has been submitted).
19. PROHIBITED USES
You may access and use the Services only for lawful purposes. You may not access or use the Services, directly or indirectly, for the purpose of:

(b) violating any local, regional, national, federal, or international law, regulation, or ordinance;
(c) infringing upon or violating our intellectual property rights or the intellectual property rights of others;

(e) submitting false or misleading information;

(g) transmitting or encouraging the transmission of any advertising or promotional material, including “junk mail,” “chain letters,” “spam,” or other similar solicitations;
(h) impersonating or attempting to impersonate another person or entity;
(i) engaging in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Midinette, Shopify, or users of the Services or expose them to liability.
In addition, you agree not to:
(a) upload or transmit viruses or any other type of malicious code that may affect the functionality or operation of the Services;
(b) reproduce, duplicate, copy, sell, resell, or exploit any part of the Services;
(c) collect or track the personal data of others;
(d) engage in spamming, phishing, pharming, pretexting, spidering, crawling, or scraping;
(e) interfere with or circumvent the security features of the Services, related websites, other websites, or the Internet.
We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.
20. APPLICABLE LAW AND DISPUTE RESOLUTION
These General Terms and Conditions of Sale are governed by Italian law, specifically Legislative Decree No. 206 of 6 September 2005 (Consumer Code), with particular reference to the rules on distance contracts, as amended by Legislative Decree No. 21 of 21 February 2014 and Legislative Decree No. 70 of 9 April 2003 on certain aspects of electronic commerce. For any dispute relating to the validity, interpretation, or performance of these General Terms and Conditions of Sale, jurisdiction shall lie with the court of the place of residence or domicile of the Customer, provided the Customer is a consumer residing within the European Union. For Customers residing outside the European Union, or in the case of B2B commercial relationships, any dispute shall fall under the exclusive jurisdiction of the Court of Milan, Italy.
Pursuant to Article 14 of Regulation 524/2013, the Customer is also informed that, in the event of a dispute, they may submit a complaint via the European Union's ODR (Online Dispute Resolution) platform, accessible at the following link:

21. TERMINATION
We may terminate this agreement or suspend your access to the Services (or any part thereof) at any time, at our sole discretion and without notice. You will remain responsible for all amounts due up to and including the date of termination.
The following sections shall survive termination: Intellectual Property, Feedback, Termination, Limitation of Warranty, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Applicable Law, Privacy Policy, and any other provision which by its nature survives termination.
22. LIMITATION OF WARRANTY
The information provided in or through the Services is made available solely for general informational purposes. We do not guarantee the accuracy, completeness, or usefulness of such information. Any reliance you place on such information is strictly at your own risk. We disclaim any liability for reliance placed on such materials by you, any visitor to the Services, or anyone who may be informed of their contents.
Except as expressly stated by Midinette, the Services and all products offered through them are provided "as is" and "as available" for your use, without any representations, warranties, or conditions of any kind, either express or implied, including but not limited to implied warranties or conditions of merchantability, quality of service, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant, represent, or guarantee that your use of the Services will be uninterrupted, timely, secure, or error-free. Some jurisdictions may not allow the exclusion of implied warranties or other warranties, so the above exclusion may not apply to you.
23. LIMITATION OF LIABILITY
To the maximum extent permitted by law, in no event shall Midinette, its partners, directors, officers, employees, affiliates, agents, merchants, service providers, or licensors, nor Shopify and its affiliates, be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind—including but not limited to lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages—arising from your use of the Services or any products obtained through the Services, or for any other claim related in any way to your use of the Services or any product, including but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Services or any content (or product) posted, transmitted, or otherwise made available via the Services, even if advised of their possibility.
24. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Midinette, Shopify, and our affiliates, partners, officers, directors, employees, agents, merchants, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable legal fees, made by any third party due to or arising from: (1) your breach of these Terms and Conditions of Service or the documents they incorporate by reference; (2) your violation of any law or the rights of a third party; or (3) your access to or use of the Services.
We will notify you of any indemnifiable claim, provided that failure to promptly notify you does not relieve you of your obligations unless you are materially prejudiced. We may assume the defense and settlement of such claim at your expense, including the choice of counsel, but we will not settle any claims that impose non-monetary obligations on you without your consent (which shall not be unreasonably withheld). You will cooperate in defending any non-indemnified claims, including by providing relevant documents.
25. SEVERABILITY
If any provision of these Terms and Conditions of Service is found to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms and Conditions of Service. Such determination shall not affect the validity and enforceability of the remaining provisions.
26. WAIVER; ENTIRE AGREEMENT
The failure of Shopify to exercise or enforce any right or provision of these Terms and Conditions of Service shall not constitute a waiver of such right or provision.
